Conversion of Partnership to LLP
Converting a Partnership Firm to an LLP provides limited liability protection to all partners while maintaining the operational flexibility of a partnership. This conversion is done via Form 17 on the MCA portal and is a tax-neutral transaction with no stamp duty on asset transfer.
Why Convert Partnership to LLP?
- Limited liability for all partners — personal assets protected from firm debts.
- Separate legal entity — LLP can sue and be sued in its own name.
- Tax benefits — no Dividend Distribution Tax, profits distributed directly.
- No stamp duty payable on transfer of assets from partnership to LLP.
- No capital gains tax triggered on conversion — completely tax-neutral.
- Better access to bank credit and institutional lending.
Key Conditions
