Partnership Firm Reconstitution
Reconstitution of a Partnership Firm involves any change in the firm's composition or terms — admission of new partners, retirement or expulsion of existing partners, or change in profit-sharing ratios. A new or supplementary Partnership Deed must be executed to formalize these changes.
Types of Reconstitution
- Admission of New Partner — Bringing in a new partner with a defined capital and profit share.
- Retirement of Partner — Voluntary exit of a partner with settlement of their share.
- Expulsion of Partner — Removal of a partner for breach of agreement or misconduct.
- Change in Profit-Sharing Ratio — Revising how profits and losses are shared among existing partners.
- Death of Partner — Admission of legal heir or continuation as per deed provisions.
