Change in Registered Office of Company
A company can change its registered office address within the same city, to a different city in the same state, or to a completely different state. Each type of change requires different MCA filings and approvals, with inter-state changes requiring Regional Director approval.
Types of Address Change
- Within the same city/town/village — Board resolution + Form INC-22 filing within 30 days.
- Outside city but within same state (different ROC jurisdiction) — Special resolution + Form MGT-14 + Alteration of MoA + Form INC-22.
- To a different state (different ROC jurisdiction) — Special resolution + Creditor and debenture holder NOC + Regional Director approval + Form INC-23 + Alteration of MoA.
Process for Inter-State Change
- Board resolution proposing the change of registered office.
- EGM and special resolution for alteration of State clause in MoA.
- File Form MGT-14 within 30 days of EGM.
- Publish notice in local newspaper at the registered office location.
- Obtain NOC from creditors and debenture holders.
- File Form INC-23 with the Regional Director for approval.
- Upon Regional Director approval, file Form INC-28 with the new state ROC.
- Receive fresh Certificate of Incorporation with the new registered office.

- Board resolution and EGM special resolution (for inter-state/city changes).
- Proof of new registered office (NOC from owner + utility bill or rent agreement).
- Altered MoA showing the new registered state (for inter-state change).
- Newspaper publication copy (for inter-state change).
- NOC from creditors and debenture holders (for inter-state change).
