Conversion of Proprietorship to LLP
Converting a Sole Proprietorship to an LLP is the ideal choice when a business owner wants to bring in partners, protect personal assets from business liabilities, and gain legal recognition as a corporate entity — without the full compliance burden of a Private Limited Company.
Why Convert Proprietorship to LLP?
- Protect personal assets through limited liability protection.
- Bring in new partners to share responsibilities and capital.
- Separate legal identity — the LLP exists independently of its partners.
- Better access to bank credit and institutional financing.
- Tax-neutral conversion — no capital gains tax on asset transfer.
- More credibility with clients, vendors, and financial institutions.
Key Conditions
- The proprietor becomes one of the designated partners of the LLP.
- At least one more partner must join the LLP upon conversion.
- All assets and liabilities of the proprietorship transfer to the LLP.
- GST and other registrations must be updated or re-registered in the LLP's name.
Documents Required
- PAN Card and Aadhaar Card of all proposed designated partners.
- Proof of existing proprietorship (GST certificate, bank statements, MSME registration).
- Address proof for the registered office of the LLP.
- LLP Agreement defining roles, capital contribution, and profit-sharing.
- Class 3 DSC of all designated partners.
Conversion Process
- Register the new LLP on the MCA portal via FiLLiP form.
- Draft and file the LLP Agreement (Form 3) within 30 days of incorporation.
- Transfer all assets and liabilities from proprietorship to LLP via a business transfer agreement.
- Update/cancel all registrations (GST, Shop Act, MSME) in the proprietorship's name.
- Obtain fresh GST, PAN, and bank account in the LLP's name.
Timeline
Approximately 15–20 working days.
Why Choose Tax Precision?
- Complete LLP registration and business transfer agreement drafting.
- GST and other registration cancellation/update support.
- Guidance on income tax implications of the conversion.
- Bank account transition support.
- Annual LLP compliance management post-conversion.
