Dissolution of Society
Dissolving a registered Society involves winding up its affairs and cancelling its registration under the Societies Registration Act, 1860 or the relevant state Act. The process requires a general body resolution with the requisite majority and formal filing with the Registrar of Societies.
Grounds for Dissolution
- Objectives of the society have been fulfilled or become impossible.
- Reduction in membership below the minimum prescribed limit.
- Mutual agreement of the majority of members to dissolve.
- Order by the Registrar of Societies or a court of competent jurisdiction.
Dissolution Process
- Issue notice for a Special General Body Meeting (GBM) for dissolution.
- Pass a resolution for dissolution at the GBM with at least 3/5 majority of members present.
- Settle all outstanding liabilities, debts, and employee dues.
- Transfer remaining assets to a similar charitable organization or state government as prescribed.
- Submit dissolution application with the resolution to the Registrar of Societies.
- Cancel GST, 12A, 80G, and FCRA registrations as applicable.
- Close the society's bank accounts.
- File final income tax return for the society.

- List of members who voted for dissolution.
- CA-certified statement of accounts showing nil assets and liabilities after settlement.
- Details of asset disposal or transfer to another organization.
- NOC from major creditors (if any).
- Bank account closure certificates.
