Every Private Limited Company in India must complete a set of annual compliances to remain in good standing with the Ministry of Corporate Affairs (MCA), Income Tax Department, and other regulatory authorities. Missing these deadlines can result in heavy penalties, director disqualification, and even company strike-off. Here is your complete annual compliance checklist.

Key Takeaways

  • AGM must be held within 6 months of financial year end (by 30th September)

  • AOC-4 (financial statements) due within 30 days of AGM

  • MGT-7 (annual return) due within 60 days of AGM

  • DIR-3 KYC for all directors must be filed by 30th September every year

  • Income Tax Return due by 31st October (for tax-audited companies)

Board Meetings and AGM

A private limited company must hold at least 4 board meetings per year with not more than 120 days gap between two consecutive meetings. The Annual General Meeting (AGM) must be held by 30th September each year. Minutes of all meetings must be recorded and maintained in statutory registers.

MCA Annual Filings

ADT-1 (auditor appointment) must be filed within 15 days of AGM. AOC-4 (financial statements) must be filed within 30 days of AGM. MGT-7 or MGT-7A (annual return) must be filed within 60 days of AGM. Filing fees increase significantly for late submissions, with additional ₹100 per day penalty.

Tax Compliance

The company must file its Income Tax Return (ITR-6) by 31st October if a tax audit is required, or 31st July otherwise. Advance tax must be paid quarterly. TDS must be deducted, paid, and returns filed quarterly. GST returns (GSTR-1 and GSTR-3B) must be filed monthly, and GSTR-9 annually.

Director KYC

Every director with a DIN must file DIR-3 KYC (web-based) annually by 30th September. Failure to complete KYC results in DIN deactivation, which prevents the director from signing any MCA forms. Reactivation requires filing with a ₹5,000 penalty.

Labour and Other Compliances

Companies with employees must file EPF and ESIC returns monthly. Professional Tax returns must be filed as per state requirements. Companies with turnover above ₹10 crores must comply with MSME payment disclosure requirements in their financial statements.

Conclusion

Annual compliance is not a one-time activity but an ongoing calendar of filings, meetings, and deadlines throughout the year. Missing any of these can have serious consequences. Taxer offers a comprehensive annual compliance management service that tracks every deadline and ensures your company never faces penalties.
